These Terms & Conditions ("Terms") govern your access to and use of Tal, a product of Watercooler Chat Private Limited ("Company," "we"). By using Tal on WhatsApp or our websites (collectively, the "Services"), you agree to these Terms.
If you do not agree, do not access or use the Services.
1) Eligibility & Account
- You must be 18 years or older and capable of forming a binding contract.
- You may use Tal via your WhatsApp number. You are responsible for maintaining the security of your device and WhatsApp account.
- By messaging Tal, you consent to receive utility messages, reminders, and service communications as necessary to deliver the features you request.
2) Services & Features
Tal provides productivity and communication utilities on WhatsApp (e.g., reminders, notes, team nudges, quick actions). We may add, modify, or discontinue features at any time.
3) Acceptable Use
You agree not to:
- Use the Services for unlawful, harmful, harassing, deceptive, or spam activity;
- Infringe intellectual property, privacy, or other rights;
- Upload/share malicious code or attempt to disrupt the Services;
- Circumvent security, rate limits, or platform policies (including WhatsApp/Meta policies);
- Misrepresent your identity or affiliation;
- Automate or bulk‑message in violation of WhatsApp Business policies.
We may suspend or terminate access for violations.
4) Messaging & Templates
We comply with WhatsApp Business Policy categories (e.g., Utility). Certain content requires pre‑approved templates; we may refuse to send messages that violate platform rules.
Messaging frequency may vary based on your usage (e.g., reminders you set). You can stop by sending STOP or contacting support.
5) Fees & Payments (if/when applicable)
- Some features may be paid (e.g., premium utilities, team plans). Pricing, trials (including ₹1 trials), and refund terms will be shown at purchase.
- Payments are processed by third parties (e.g., Razorpay, card networks, UPI). Taxes may apply.
- We may change prices with notice for ongoing subscriptions; changes apply from the next billing cycle.
6) Intellectual Property
- The Services, including software, designs, text, graphics, logos, and trademarks (excluding your content), are owned by or licensed to the Company and protected by law.
- You receive a limited, revocable, non‑exclusive, non‑transferable license to use the Services for lawful purposes.
- You retain rights in content you submit; you grant us a worldwide, non‑exclusive license to use, process, host, reproduce, and display such content solely to operate and improve the Services.
7) Third‑Party Services
We integrate with WhatsApp/Meta and may use BSPs and other vendors. Their terms and privacy policies govern your use of those services. We are not responsible for third‑party acts or omissions.
8) Privacy
Our Privacy Policy (above) describes how we handle personal data. By using the Services, you agree to our data practices.
9) Disclaimers
- The Services are provided on an "as is" and "as available" basis.
- We disclaim all warranties, express or implied, including merchantability, fitness for a particular purpose, and non‑infringement.
- We do not guarantee uninterrupted or error‑free operation, or that messages will always be delivered or received.
10) Limitation of Liability
To the maximum extent permitted by law, the Company will not be liable for indirect, incidental, special, consequential, or punitive damages; and our aggregate liability arising out of or relating to the Services will not exceed the greater of ₹10,000 or the amount you paid in the three (3) months preceding the claim.
11) Indemnity
You agree to defend, indemnify, and hold harmless the Company, its directors, officers, employees, and agents from any claims, liabilities, damages, losses, and expenses arising from your use of the Services or violation of these Terms.
12) Termination
We may suspend or terminate access at any time with or without notice for any reason, including policy or legal violations. You may stop using the Services at any time by messaging STOP or contacting support.
13) Governing Law & Dispute Resolution
- Governing law: Laws of India.
- Jurisdiction: Courts at Bengaluru, Karnataka, India (insert correct city if different).
- Before litigation, the parties will attempt good‑faith resolution and, failing that, consider mediation or arbitration by mutual consent.
14) Changes to the Terms
We may update these Terms. Material changes will be notified via WhatsApp or our website. Continued use after changes signifies acceptance.
